1. Scope

These general terms apply when Tizfai Technologies AB (the Supplier) provides the service LöneFai (the Service) to the customer under the customer agreement. The customer is a business; consumer protection law does not apply.

2. The Service

The Service is provided as a cloud service in browsers and a mobile app. The Supplier may develop and change the Service as long as the agreed functionality is essentially kept. Substantial changes are announced to the customer in advance.

3. Accounts and permissions

The customer is responsible for handling user accounts, permissions and sign-in details securely and for giving access only to authorised people. The customer is responsible for what is done with its accounts. An accounting firm is responsible for having its client companies' mandate to run their payroll.

4. The customer's data

The customer owns its data. The Supplier processes personal data on the customer's behalf under Annex 2. The customer is responsible for the data entered in the Service being correct and for its right to process it. Material the Service produces, such as payslips, employer declarations, bank files and bookkeeping basis, is to be checked by the customer before use; the customer is responsible for its filings with authorities and for its payments.

5. Availability and support

The Supplier aims for high availability but does not guarantee uninterrupted operation. Planned maintenance is done outside office hours where possible and announced in advance. Support is given in the Service and by email in Swedish and English on weekdays.

6. Price and payment

Prices as in the customer agreement, excluding VAT. Invoicing is monthly in arrears with payment due 30 days from the invoice date. Late payment may incur interest under the Swedish Interest Act and a reminder fee under the Swedish Debt Collection Costs Act. Price changes for agreements without a binding period are announced at least 60 days in advance; during a binding period the price changes only by written agreement.

7. Intellectual property

All rights to the Service, its software and documentation belong to the Supplier. During the agreement the customer has a non-exclusive right to use the Service in its own business and, for an accounting firm, for its client companies.

8. Liability

The Supplier is responsible for faults in the Service within its control and fixes confirmed faults within reasonable time. The Supplier is not liable for indirect damage, such as loss of profit, for loss of data the customer could have recreated, or for faults in third-party services (such as BankID, the Tax Agency, banks or Fortnox) or in the customer's equipment and internet connection. The Supplier's total liability per calendar year is limited to the fees the customer paid for the Service in the last twelve months. The limitations do not apply in case of intent or gross negligence.

9. Force majeure

A party is released from liability for failing to perform an obligation when the failure is caused by circumstances beyond its control, such as war, decisions of authorities, strikes, fire, extensive power or telecommunications outages, or a subcontractor's fault caused by such a circumstance.

10. Confidentiality

The parties do not disclose confidential information about each other to third parties, during the agreement and for three years after it. This does not apply to information that is public or that a party must disclose by law.

11. Term and termination

The term, binding period and notice period are set in the customer agreement. A party may terminate the agreement with immediate effect if the other party materially breaches it and does not remedy the breach within 30 days of a written request, or if the other party goes bankrupt or may otherwise be assumed to be insolvent.

12. When the agreement ends

The customer can export its data, payslips and files during the agreement and for 30 days after it ends. The customer's data is then deleted under Annex 2, except data the Supplier must keep by law.

13. Changes and assignment

Changes and additions to the agreement must be in writing and signed by both parties, electronically with BankID or on paper. The customer may not assign the agreement without the Supplier's written consent.

14. Disputes

Swedish law applies to the agreement. Disputes are settled by the general courts of Sweden.
